Applies to all users of the Platform. Effective upon access to or use of the Platform.
These Terms of Use ("Terms") are entered into by and between you and Awesome Studios, LLC, an Oregon limited liability company doing business as CodyMD ("CodyMD," "we," "us," or "our"). CodyMD operates the website at cody.md and app.cody.md (the "Website"), the CodyMD mobile application (the "App"), and related services (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Platform.
IMPORTANT: These Terms contain an arbitration agreement, class action waiver, and jury trial waiver (Section A12). Please read them carefully.
The Platform is available to users who are 18 years of age or older. By using the Platform, you represent that you are at least 18 and have the legal capacity to enter into a binding agreement. If you are accepting on behalf of a minor child as their parent, guardian, conservator, or custodian, you agree to these Terms on their behalf.
The informational features of the Platform are available to users in the United States and, subject to applicable local laws, internationally. Users accessing from outside the United States do so on their own initiative and are responsible for compliance with local laws. Clinical Services are governed by Part B of these Terms and are subject to additional eligibility requirements, including geographic and identity verification.
The Platform's informational services, including conversations with the CodyMD AI, provide general health information and education only. They are not a substitute for professional medical advice, diagnosis, or treatment, and they do not constitute the practice of medicine. No provider-patient relationship is created by your use of informational services.
The AI is imperfect and may produce information that is incomplete, outdated, or incorrect. You should not rely on the AI as your sole source of health information, and you should not make significant health decisions based solely on AI output. Any information provided by the AI should be discussed with a licensed healthcare professional. Failure to seek timely care from a licensed clinician based on information from the AI may result in serious harm, for which CodyMD bears no liability.
CodyMD is an AI Doctor — an AI-powered service for health information and education. The AI does not practice medicine, does not provide medical advice, diagnosis, or treatment, and does not establish a doctor-patient relationship. Medical advice, diagnosis, treatment, and prescriptions are provided exclusively by independent licensed clinicians.
If you are experiencing a medical emergency, call 911 or go to your nearest emergency room immediately. If you are experiencing a mental health crisis, contact the 988 Suicide and Crisis Lifeline by calling or texting 988, or text HOME to 741741.
If you wish to receive medical advice, diagnosis, or treatment, you must separately enroll in Clinical Services governed by Part B of these Terms, the HIPAA Notice of Privacy Practices, and the Telehealth Informed Consent. Clinical Services are currently available only to patients physically located in Oregon or Washington.
You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us imm

Content on the Platform is provided for general informational purposes only. We do not warrant its accuracy, completeness, or usefulness. Any reliance you place on Platform information is at your own risk. Third-party content does not necessarily reflect the views of CodyMD.
Your use of the Platform is subject to our Privacy Policy. Part A of the Privacy Policy covers personal information collected through informational services. Part B of the Privacy Policy (HIPAA Notice of Privacy Practices) applies only to Clinical Services.
The Platform and its contents are owned by CodyMD, its licensors, or other providers of such material and are protected by intellectual property laws. You may use the Platform for personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, or transmit any Platform material, except as incidental to normal use.
You may not use any output of the CodyMD AI, or any other content from the Platform, as input for any machine learning or artificial intelligence technology that is not provided to you by CodyMD, or otherwise use such content as part of a dataset that may be used for training, fine-tuning, developing, testing, or improving any machine learning or artificial intelligence technology.
The CodyMD name, logo, and related marks are trademarks of Awesome Studios, LLC. You must not use them without prior written permission.
You agree not to use the Platform:
In violation of any applicable law or regulation.
To exploit, harm, or attempt to harm minors.
To transmit spam, advertising, or promotional material.
To impersonate CodyMD, its employees, users, or any other person.
To provide false or misleading information, including false information about your identity, location, or health.
To use automated means (robots, spiders, scrapers) to access the Platform.
To introduce malicious code (viruses, Trojan horses, worms, etc.).
To attempt unauthorized access to the Platform or connected systems.
To interfere with the proper working of the Platform.
To circumvent, remove, alter, deactivate, degrade, or thwart any technological measure or content protection of the Platform.
To use cheats, automation software, or unauthorized third-party software designed to modify the Platform.
To copy, modify, distribute, decompile, reverse engineer, or create derivative works of the Platform, except as expressly permitted.
You also agree not to use the informational services of the Platform, including the CodyMD AI, in connection with any of the following circumstances. In any of these circumstances, you should immediately seek appropriate medical or emergency care and should not rely on the Platform.
Medical emergencies, including any acute or rapidly worsening symptoms that may indicate a life-threatening condition, including but not limited to chest pain or pressure, difficulty breathing, severe bleeding, loss of consciousness, suspected stroke, severe allergic reactions, poisoning, or overdose.
Mental, emotional, or behavioral health concerns, including any current or past thoughts or intentions of suicide, self-harm, or harming others; any current or past violent thoughts or ideations; any history of psychiatric crises; or any other mental, emotional, or behavioral health condition. If you are experiencing a mental health crisis, contact the 988 Suicide and Crisis Lifeline by calling or texting 988, or text HOME to 741741. See Section B12 for additional information.
Pregnancy emergencies or complications, including labor and delivery questions, severe pain, bleeding, or other pregnancy-related concerns. Pregnant users should consult directly with their obstetrician, midwife, or other healthcare provider for all pregnancy-related matters.
Pediatric care, including any health concerns of children under 18. Parents or guardians must consult with a qualified pediatrician for any pediatric health concerns.
Specialized or complex medical conditions that typically require specialist care, including but not limited to cancer and oncology care, heart disease and cardiovascular conditions, neurological disorders, autoimmune diseases, rare diseases or genetic disorders, and complex chronic conditions requiring specialist oversight.
You agree that you will not use the CodyMD AI or other informational services as your sole source of medical information or guidance. You will discuss any health information obtained through the Platform with a licensed healthcare professional before making significant health decisions. You agree to promptly review any information from the CodyMD AI with a qualified healthcare provider.
The Platform may automatically detect potential breaches of this Section A9 and may automatically terminate the conversation, redirect you to appropriate emergency or crisis resources, or take other actions consistent with this Section. CodyMD reserves the right to determine, in its sole discretion, what constitutes a breach of this Section.
User Contributions must comply with all applicable laws. Any User Contribution you post is non-confidential and non-proprietary, and you grant CodyMD a non-exclusive, royalty-free, perpetual right to use, reproduce, modify, display, and distribute such content in connection with the Platform.
Submit DMCA notices to legal@cody.md. Counter-notification procedures are available. We terminate accounts of repeat infringers.
Before pursuing arbitration, send a detailed written notice to legal@cody.md including your full name, contact information, and a description of the dispute. Negotiate in good faith for 60 days. This is a prerequisite to arbitration.
Disputes will be resolved by binding arbitration administered by National Arbitration and Mediation (NAM) or, if NAM is unavailable, the American Arbitration Association (AAA), before a single neutral arbitrator.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND CODYMD EACH WAIVE THE RIGHT TO A TRIAL BY JURY. ARBITRATION SHALL BE CONDUCTED IN INDIVIDUAL CAPACITIES ONLY, NOT AS A CLASS ACTION OR REPRESENTATIVE ACTION.
Either party may pursue individual claims in small claims court or seek injunctive relief for intellectual property infringement.
THE PLATFORM AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. CODYMD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
INFORMATIONAL SERVICES, INCLUDING THE CODYMD AI, ARE PROVIDED FOR EDUCATIONAL PURPOSES ONLY AND MAY CONTAIN ERRORS, INCLUDING ERRORS THAT COULD BE CONSEQUENTIAL TO YOUR HEALTH. CODYMD MAKES NO WARRANTY REGARDING THE ACCURACY, COMPLETENESS, TIMELINESS, OR APPLICABILITY OF ANY HEALTH INFORMATION PROVIDED THROUGH THE PLATFORM. YOU ACKNOWLEDGE THAT THE CODYMD AI RELY ON ARTIFICIAL INTELLIGENCE MODELS AND THAT OUTPUT FROM SUCH MODELS MAY BE INCORRECT. RELYING ON THE OUTPUT OF THE CODYMD AI WITHOUT VERIFICATION FROM A QUALIFIED HEALTHCARE PROVIDER COULD LEAD TO HARMFUL OUTCOMES, FOR WHICH CODYMD BEARS NO LIABILITY.
THE PLATFORM IS NOT A SUBSTITUTE FOR PROMPT, IN-PERSON MEDICAL EVALUATION WHEN NEEDED. YOU AGREE THAT YOU WILL NOT USE THE PLATFORM AS YOUR SOLE SOURCE OF MEDICAL INFORMATION OR GUIDANCE AND THAT YOU WILL NOT MAKE SIGNIFICANT HEALTH DECISIONS BASED SOLELY ON INFORMATION PROVIDED BY THE PLATFORM.
CODYMD DOES NOT PRACTICE MEDICINE, DOES NOT EMPLOY PROVIDERS FOR THE PURPOSE OF DELIVERING CLINICAL CARE, AND DOES NOT DIRECT OR CONTROL THE INDEPENDENT CLINICAL JUDGMENT OF ANY PROVIDER. CLINICAL SERVICES, WHEN PROVIDED, ARE PROVIDED BY INDEPENDENT LICENSED HEALTHCARE PROVIDERS AS DESCRIBED IN PART B.
CODYMD'S MAXIMUM LIABILITY SHALL NOT EXCEED THE GREATER OF (I) FEES YOU PAID IN THE THREE MONTHS PRECEDING YOUR CLAIM, OR (II) $100.00. CODYMD SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
YOU ACKNOWLEDGE AND AGREE THAT THE PLATFORM, INCLUDING THE CODYMD AI, DOES NOT CREATE A DOCTOR-PATIENT RELATIONSHIP, DOES NOT PRACTICE MEDICINE, AND THAT CODYMD CANNOT BE HELD LIABLE FOR MEDICAL MALPRACTICE. YOU FURTHER ACKNOWLEDGE AND AGREE THAT CODYMD WILL NOT BE HELD LIABLE FOR ANY HARM RESULTING FROM DELAYED MEDICAL CARE, MISINTERPRETATION OF INFORMATION FROM THE PLATFORM, OR FAILURE TO SEEK APPROPRIATE IN-PERSON MEDICAL ATTENTION.
You agree to defend, indemnify, and hold harmless CodyMD, its affiliates, and their respective officers, directors, employees, and agents from claims arising from your violation of these Terms, your use of the Platform, your User Contributions, your provision of false or misleading information, or your violation of any law.
These Terms are governed by the laws of the State of Oregon, without regard to conflict of laws principles, except as preempted by federal law. Non-arbitrable disputes are subject to the exclusive jurisdiction of courts in Multnomah County, Oregon.
We may revise these Terms at any time. Changes are effective when posted, except that changes to dispute resolution provisions (Section A12) will not apply to disputes for which parties had prior notice. Continued use constitutes acceptance. We may modify, suspend, or discontinue the Platform at any time.
If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary. Remaining provisions continue in full force.

Applies when you request Clinical Services through CodyMD. Effective upon your electronic acceptance of the Telehealth Informed Consent and these Part B terms.
This Part B supplements Part A. Part A remains in full force. In the event of conflict between Part A and Part B, Part B controls with respect to Clinical Services. By accepting Part B, you also acknowledge the HIPAA Notice of Privacy Practices (Part B of the Privacy Policy) and the Telehealth Informed Consent.
When you use the Platform's informational services, no provider-patient relationship exists. When you elect to receive Clinical Services — by submitting a request for clinical evaluation, accepting the Telehealth Informed Consent, and authorizing payment — you transition from informational to Clinical Services, and this Part B becomes applicable. The provider-patient relationship is established only when a licensed Provider reviews and accepts your case, as described in Section B6 below.
CodyMD is a technology platform. CodyMD does not practice medicine, does not employ Providers for the purpose of delivering clinical care, and does not direct or control the independent clinical judgment of any Provider.
CodyMD facilitates access to Clinical Services through (a) MD Integrations (https://mdintegrations.com,) an independent medical group with which CodyMD contracts to make clinical services available to CodyMD patients, and (b) independent contractor Providers who deliver care directly through the CodyMD platform. In each case, CodyMD serves as a technology platform and administrative services provider; CodyMD does not employ Providers for the purpose of delivering clinical care.
You establish a provider-patient relationship with the individual Provider who delivers your care, not with CodyMD or MD Integrations as an entity. The provider-patient relationship is established only when your Provider reviews your case, accepts it, and initiates clinical care. CodyMD is not a party to this relationship. All clinical decisions are solely within your Provider's professional judgment. Providers may decline treatment in their sole professional discretion. CodyMD makes no guarantee that you will receive any particular treatment, prescription, or diagnosis.
Clinical Services are currently available only to patients physically located in Oregon or Washington at the time of the clinical encounter. Clinical Services are not available in any other state or U.S. territory at this time. Your Provider must hold an active, unrestricted license in the state where you are physically located.
You agree to accurately disclose your physical location and to provide identity verification information (including a valid government-issued photo identification) when requested. Misrepresenting your location, identity, or other eligibility information may result in immediate termination of services without recourse and may have legal consequences.
CodyMD uses geolocation, identity verification, address verification, and Provider licensure monitoring as safeguards against ineligible service delivery. See Section B13 for details.
If CodyMD expands clinical services to additional jurisdictions, this Part B will be updated to reflect the additional state-specific provisions.
CLINICAL SERVICES ARE NOT FOR MEDICAL EMERGENCIES. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR GO TO YOUR NEAREST EMERGENCY ROOM IMMEDIATELY.
If you are experiencing a mental health crisis, contact the 988 Suicide and Crisis Lifeline by calling or texting 988, text HOME to 741741, or call 911 or go to your nearest emergency room. CodyMD does not provide mental, emotional, or behavioral health care services. See Section B12.
Clinical Services require your affirmative acceptance of the CodyMD Telehealth Informed Consent, which provides important information about telehealth, your rights as a patient, the asynchronous-with-synchronous-escalation workflow, the auth-not-capture payment model, identity verification, and other matters. The Telehealth Informed Consent is available at https://cody.md/patient-policies.
You are required to electronically acknowledge the Telehealth Informed Consent before any payment is authorized for Clinical Services. Your acknowledgment is recorded with timestamp, IP address, and consent-document version identifier.
In the event of conflict between this Part B and the Telehealth Informed Consent, the Telehealth Informed Consent controls with respect to clinical-care matters.
All Clinical Services are direct-pay (self-pay) only. CodyMD collects fees on behalf of Providers as an administrative service. Neither CodyMD nor any Provider will submit claims to insurance, Medicare, Medicaid, HMOs, or any third-party payor. You are responsible for any reimbursement claims to your insurer.
CodyMD uses Stripe for secure payment processing. Your use of Stripe is subject to Stripe's terms. CodyMD does not store full payment credentials.
When you request Clinical Services, CodyMD authorizes a payment hold on your selected payment method through Stripe but does not capture (charge) the payment at the time of authorization. Payment is captured only after a licensed Provider reviews your case and accepts it for treatment.
If your Provider declines your case for any reason — including clinical reasons, jurisdictional ineligibility, lapsed Provider licensure, identity or address verification failure, or any other reason — the authorization is canceled and no payment is captured. You will not be charged for declined cases. A pending authorization may temporarily appear on your card statement as a hold; this hold is released by your card issuer if your case is declined, on the issuer's timeline.
Fees are disclosed before you authorize payment. By proceeding, you agree to pay the disclosed fees if and when your case is accepted by a Provider. CodyMD may modify fees with notice on the Platform.
Once payment is captured (i.e., after Provider acceptance and initiation of clinical care), payments are final, except as required by law or as described in Section B6.7.
Failed payments may result in suspension of Clinical Services until the balance is resolved.
Contact help@cody.md within 30 days of a charge. CodyMD will investigate in good faith and may issue adjustments at its discretion. Unresolved disputes follow Section A12 (Dispute Resolution).
You are responsible for applicable taxes unless CodyMD is required by law to collect them.
You are responsible for providing accurate, current, and complete health information, location information, and identity information to CodyMD and to your Provider. Providers rely on the information you provide. CodyMD and Providers have no liability for outcomes resulting from inaccurate or incomplete information, or from misrepresentation of your identity, location, or eligibility.
Prescriptions, when issued, are at your Provider's sole professional discretion. Your Provider may transmit prescriptions electronically to a pharmacy of your choice or to a partnered pharmacy. All pharmacies are independently owned and licensed in the United States. CodyMD does not operate a pharmacy and is not responsible for the acts or omissions of any pharmacy.
Certain medications, including most controlled substances, may not be prescribed via telehealth due to federal and state regulatory restrictions, the Ryan Haight Act, your Provider's clinical judgment, or other applicable rules.
Medical records are maintained per applicable law. CodyMD stores medical records on HIPAA-compliant infrastructure for a minimum of seven (7) years from the date of the last encounter, or longer where required by state law. Your rights regarding records are described in Part B of the Privacy Policy (HIPAA Notice of Privacy Practices). Contact records@cody.md for record requests.
CodyMD operates as a Business Associate under HIPAA with respect to Protected Health Information (PHI) created in connection with Clinical Services. CodyMD maintains Business Associate Agreements with Providers, MD Integrations, and other contracted parties. Your HIPAA rights are described in Part B of the Privacy Policy.
CODYMD IS NOT LIABLE FOR THE ACTS OR OMISSIONS OF ANY PROVIDER, MD INTEGRATIONS, ANY OTHER MEDICAL GROUP, OR ANY PHARMACY. CODYMD DOES NOT PRACTICE MEDICINE AND DOES NOT DIRECT PROVIDER CLINICAL JUDGMENT. CODYMD DOES NOT GUARANTEE PROVIDER AVAILABILITY IN ANY STATE OR TERRITORY. CODYMD DOES NOT GUARANTEE THAT ANY PARTICULAR TREATMENT, PRESCRIPTION, OR DIAGNOSIS WILL BE ISSUED.
CodyMD does not provide mental, emotional, or behavioral health care services through Clinical Services. You agree not to use Clinical Services for any mental, emotional, or behavioral health concerns, including but not limited to depression, anxiety, suicidal thoughts, self-harm, thoughts of harming others, substance use disorders, eating disorders, psychiatric conditions, or any other mental, emotional, or behavioral health condition.

CodyMD implements multiple safeguards to ensure that Clinical Services are provided only to eligible patients in jurisdictions where CodyMD's contracted Providers are licensed:
Geolocation. At the time of clinical service request, CodyMD uses geolocation technology to determine your approximate physical location.
Patient Self-Declaration. You are required to disclose your physical location.
Identity Verification. You are required to provide a valid government-issued photo identification, which is verified against your self-disclosed information.
Address Verification. Your delivery address (where applicable) is verified against your identification and other information.
Provider Licensure Monitoring. CodyMD and MD Integrations monitor Provider licensure status on an ongoing basis. A Provider with a lapsed, suspended, or revoked license may not accept cases through the platform.
Payment Hold. As described in Section B6.3, payment is authorized but not captured until a Provider accepts your case. If any verification step fails or any other reason for declination applies, your case is declined and no payment is captured.
These safeguards operate together to prevent payment from, and Clinical Services to, jurisdictions where CodyMD does not operate or where the assigned Provider is not licensed.
In addition to Section A15, you agree to indemnify CodyMD, its Providers, MD Integrations, and any contracted medical groups from claims arising from: (a) inaccurate or incomplete health information you provide; (b) misrepresentation of your location, identity, or eligibility; (c) use of Clinical Services in violation of this Part B; (d) failure to follow Provider recommendations regarding follow-up care or emergency services; or (e) your violation of any state or federal law.
Sections B6 (Fees), B7 (Accuracy), B9 (Records), B10 (HIPAA), B11 (Disclaimers), B14 (Indemnification), and any other provision that by its nature should survive termination, survive termination.

The Platform and its contents are owned by CodyMD, its licensors, or other providers of such material and are protected by intellectual property laws. You may use the Platform for personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, or transmit any Platform material, except as incidental to normal use.
You may not use any output of the CodyMD AI, or any other content from the Platform, as input for any machine learning or artificial intelligence technology that is not provided to you by CodyMD, or otherwise use such content as part of a dataset that may be used for training, fine-tuning, developing, testing, or improving any machine learning or artificial intelligence technology.
The CodyMD name, logo, and related marks are trademarks of Awesome Studios, LLC. You must not use them without prior written permission.
You agree not to use the Platform:
In violation of any applicable law or regulation.
To exploit, harm, or attempt to harm minors.
To transmit spam, advertising, or promotional material.
To impersonate CodyMD, its employees, users, or any other person.
To provide false or misleading information, including false information about your identity, location, or health.
To use automated means (robots, spiders, scrapers) to access the Platform.
To introduce malicious code (viruses, Trojan horses, worms, etc.).
To attempt unauthorized access to the Platform or connected systems.
To interfere with the proper working of the Platform.
To circumvent, remove, alter, deactivate, degrade, or thwart any technological measure or content protection of the Platform.
To use cheats, automation software, or unauthorized third-party software designed to modify the Platform.
To copy, modify, distribute, decompile, reverse engineer, or create derivative works of the Platform, except as expressly permitted.
You also agree not to use the informational services of the Platform, including the CodyMD AI, in connection with any of the following circumstances. In any of these circumstances, you should immediately seek appropriate medical or emergency care and should not rely on the Platform.
Medical emergencies, including any acute or rapidly worsening symptoms that may indicate a life-threatening condition, including but not limited to chest pain or pressure, difficulty breathing, severe bleeding, loss of consciousness, suspected stroke, severe allergic reactions, poisoning, or overdose.
Mental, emotional, or behavioral health concerns, including any current or past thoughts or intentions of suicide, self-harm, or harming others; any current or past violent thoughts or ideations; any history of psychiatric crises; or any other mental, emotional, or behavioral health condition. If you are experiencing a mental health crisis, contact the 988 Suicide and Crisis Lifeline by calling or texting 988, or text HOME to 741741. See Section B12 for additional information.
Pregnancy emergencies or complications, including labor and delivery questions, severe pain, bleeding, or other pregnancy-related concerns. Pregnant users should consult directly with their obstetrician, midwife, or other healthcare provider for all pregnancy-related matters.
Pediatric care, including any health concerns of children under 18. Parents or guardians must consult with a qualified pediatrician for any pediatric health concerns.
Specialized or complex medical conditions that typically require specialist care, including but not limited to cancer and oncology care, heart disease and cardiovascular conditions, neurological disorders, autoimmune diseases, rare diseases or genetic disorders, and complex chronic conditions requiring specialist oversight.
You agree that you will not use the CodyMD AI or other informational services as your sole source of medical information or guidance. You will discuss any health information obtained through the Platform with a licensed healthcare professional before making significant health decisions. You agree to promptly review any information from the CodyMD AI with a qualified healthcare provider.
The Platform may automatically detect potential breaches of this Section A9 and may automatically terminate the conversation, redirect you to appropriate emergency or crisis resources, or take other actions consistent with this Section. CodyMD reserves the right to determine, in its sole discretion, what constitutes a breach of this Section.
User Contributions must comply with all applicable laws. Any User Contribution you post is non-confidential and non-proprietary, and you grant CodyMD a non-exclusive, royalty-free, perpetual right to use, reproduce, modify, display, and distribute such content in connection with the Platform.
Submit DMCA notices to legal@cody.md. Counter-notification procedures are available. We terminate accounts of repeat infringers.
Before pursuing arbitration, send a detailed written notice to legal@cody.md including your full name, contact information, and a description of the dispute. Negotiate in good faith for 60 days. This is a prerequisite to arbitration.
Disputes will be resolved by binding arbitration administered by National Arbitration and Mediation (NAM) or, if NAM is unavailable, the American Arbitration Association (AAA), before a single neutral arbitrator.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND CODYMD EACH WAIVE THE RIGHT TO A TRIAL BY JURY. ARBITRATION SHALL BE CONDUCTED IN INDIVIDUAL CAPACITIES ONLY, NOT AS A CLASS ACTION OR REPRESENTATIVE ACTION.
Either party may pursue individual claims in small claims court or seek injunctive relief for intellectual property infringement.
THE PLATFORM AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. CODYMD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
INFORMATIONAL SERVICES, INCLUDING THE CODYMD AI, ARE PROVIDED FOR EDUCATIONAL PURPOSES ONLY AND MAY CONTAIN ERRORS, INCLUDING ERRORS THAT COULD BE CONSEQUENTIAL TO YOUR HEALTH. CODYMD MAKES NO WARRANTY REGARDING THE ACCURACY, COMPLETENESS, TIMELINESS, OR APPLICABILITY OF ANY HEALTH INFORMATION PROVIDED THROUGH THE PLATFORM. YOU ACKNOWLEDGE THAT THE CODYMD AI RELY ON ARTIFICIAL INTELLIGENCE MODELS AND THAT OUTPUT FROM SUCH MODELS MAY BE INCORRECT. RELYING ON THE OUTPUT OF THE CODYMD AI WITHOUT VERIFICATION FROM A QUALIFIED HEALTHCARE PROVIDER COULD LEAD TO HARMFUL OUTCOMES, FOR WHICH CODYMD BEARS NO LIABILITY.
THE PLATFORM IS NOT A SUBSTITUTE FOR PROMPT, IN-PERSON MEDICAL EVALUATION WHEN NEEDED. YOU AGREE THAT YOU WILL NOT USE THE PLATFORM AS YOUR SOLE SOURCE OF MEDICAL INFORMATION OR GUIDANCE AND THAT YOU WILL NOT MAKE SIGNIFICANT HEALTH DECISIONS BASED SOLELY ON INFORMATION PROVIDED BY THE PLATFORM.
CODYMD DOES NOT PRACTICE MEDICINE, DOES NOT EMPLOY PROVIDERS FOR THE PURPOSE OF DELIVERING CLINICAL CARE, AND DOES NOT DIRECT OR CONTROL THE INDEPENDENT CLINICAL JUDGMENT OF ANY PROVIDER. CLINICAL SERVICES, WHEN PROVIDED, ARE PROVIDED BY INDEPENDENT LICENSED HEALTHCARE PROVIDERS AS DESCRIBED IN PART B.
CODYMD'S MAXIMUM LIABILITY SHALL NOT EXCEED THE GREATER OF (I) FEES YOU PAID IN THE THREE MONTHS PRECEDING YOUR CLAIM, OR (II) $100.00. CODYMD SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
YOU ACKNOWLEDGE AND AGREE THAT THE PLATFORM, INCLUDING THE CODYMD AI, DOES NOT CREATE A DOCTOR-PATIENT RELATIONSHIP, DOES NOT PRACTICE MEDICINE, AND THAT CODYMD CANNOT BE HELD LIABLE FOR MEDICAL MALPRACTICE. YOU FURTHER ACKNOWLEDGE AND AGREE THAT CODYMD WILL NOT BE HELD LIABLE FOR ANY HARM RESULTING FROM DELAYED MEDICAL CARE, MISINTERPRETATION OF INFORMATION FROM THE PLATFORM, OR FAILURE TO SEEK APPROPRIATE IN-PERSON MEDICAL ATTENTION.
You agree to defend, indemnify, and hold harmless CodyMD, its affiliates, and their respective officers, directors, employees, and agents from claims arising from your violation of these Terms, your use of the Platform, your User Contributions, your provision of false or misleading information, or your violation of any law.
These Terms are governed by the laws of the State of Oregon, without regard to conflict of laws principles, except as preempted by federal law. Non-arbitrable disputes are subject to the exclusive jurisdiction of courts in Multnomah County, Oregon.
We may revise these Terms at any time. Changes are effective when posted, except that changes to dispute resolution provisions (Section A12) will not apply to disputes for which parties had prior notice. Continued use constitutes acceptance. We may modify, suspend, or discontinue the Platform at any time.
If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary. Remaining provisions continue in full force.

Applies when you request Clinical Services through CodyMD. Effective upon your electronic acceptance of the Telehealth Informed Consent and these Part B terms.
This Part B supplements Part A. Part A remains in full force. In the event of conflict between Part A and Part B, Part B controls with respect to Clinical Services. By accepting Part B, you also acknowledge the HIPAA Notice of Privacy Practices (Part B of the Privacy Policy) and the Telehealth Informed Consent.
When you use the Platform's informational services, no provider-patient relationship exists. When you elect to receive Clinical Services — by submitting a request for clinical evaluation, accepting the Telehealth Informed Consent, and authorizing payment — you transition from informational to Clinical Services, and this Part B becomes applicable. The provider-patient relationship is established only when a licensed Provider reviews and accepts your case, as described in Section B6 below.
CodyMD is a technology platform. CodyMD does not practice medicine, does not employ Providers for the purpose of delivering clinical care, and does not direct or control the independent clinical judgment of any Provider.
CodyMD facilitates access to Clinical Services through (a) MD Integrations (https://mdintegrations.com,) an independent medical group with which CodyMD contracts to make clinical services available to CodyMD patients, and (b) independent contractor Providers who deliver care directly through the CodyMD platform. In each case, CodyMD serves as a technology platform and administrative services provider; CodyMD does not employ Providers for the purpose of delivering clinical care.
You establish a provider-patient relationship with the individual Provider who delivers your care, not with CodyMD or MD Integrations as an entity. The provider-patient relationship is established only when your Provider reviews your case, accepts it, and initiates clinical care. CodyMD is not a party to this relationship. All clinical decisions are solely within your Provider's professional judgment. Providers may decline treatment in their sole professional discretion. CodyMD makes no guarantee that you will receive any particular treatment, prescription, or diagnosis.
Clinical Services are currently available only to patients physically located in Oregon or Washington at the time of the clinical encounter. Clinical Services are not available in any other state or U.S. territory at this time. Your Provider must hold an active, unrestricted license in the state where you are physically located.
You agree to accurately disclose your physical location and to provide identity verification information (including a valid government-issued photo identification) when requested. Misrepresenting your location, identity, or other eligibility information may result in immediate termination of services without recourse and may have legal consequences.
CodyMD uses geolocation, identity verification, address verification, and Provider licensure monitoring as safeguards against ineligible service delivery. See Section B13 for details.
If CodyMD expands clinical services to additional jurisdictions, this Part B will be updated to reflect the additional state-specific provisions.

Clinical Services require your affirmative acceptance of the CodyMD Telehealth Informed Consent, which provides important information about telehealth, your rights as a patient, the asynchronous-with-synchronous-escalation workflow, the auth-not-capture payment model, identity verification, and other matters. The Telehealth Informed Consent is available at https://cody.md/patient-policies.
You are required to electronically acknowledge the Telehealth Informed Consent before any payment is authorized for Clinical Services. Your acknowledgment is recorded with timestamp, IP address, and consent-document version identifier.
In the event of conflict between this Part B and the Telehealth Informed Consent, the Telehealth Informed Consent controls with respect to clinical-care matters.
All Clinical Services are direct-pay (self-pay) only. CodyMD collects fees on behalf of Providers as an administrative service. Neither CodyMD nor any Provider will submit claims to insurance, Medicare, Medicaid, HMOs, or any third-party payor. You are responsible for any reimbursement claims to your insurer.
CodyMD uses Stripe for secure payment processing. Your use of Stripe is subject to Stripe's terms. CodyMD does not store full payment credentials.
When you request Clinical Services, CodyMD authorizes a payment hold on your selected payment method through Stripe but does not capture (charge) the payment at the time of authorization. Payment is captured only after a licensed Provider reviews your case and accepts it for treatment.
If your Provider declines your case for any reason — including clinical reasons, jurisdictional ineligibility, lapsed Provider licensure, identity or address verification failure, or any other reason — the authorization is canceled and no payment is captured. You will not be charged for declined cases. A pending authorization may temporarily appear on your card statement as a hold; this hold is released by your card issuer if your case is declined, on the issuer's timeline.
Fees are disclosed before you authorize payment. By proceeding, you agree to pay the disclosed fees if and when your case is accepted by a Provider. CodyMD may modify fees with notice on the Platform.
Once payment is captured (i.e., after Provider acceptance and initiation of clinical care), payments are final, except as required by law or as described in Section B6.7.
Failed payments may result in suspension of Clinical Services until the balance is resolved.
Contact help@cody.md within 30 days of a charge. CodyMD will investigate in good faith and may issue adjustments at its discretion. Unresolved disputes follow Section A12 (Dispute Resolution).
You are responsible for applicable taxes unless CodyMD is required by law to collect them.
You are responsible for providing accurate, current, and complete health information, location information, and identity information to CodyMD and to your Provider. Providers rely on the information you provide. CodyMD and Providers have no liability for outcomes resulting from inaccurate or incomplete information, or from misrepresentation of your identity, location, or eligibility.
Prescriptions, when issued, are at your Provider's sole professional discretion. Your Provider may transmit prescriptions electronically to a pharmacy of your choice or to a partnered pharmacy. All pharmacies are independently owned and licensed in the United States. CodyMD does not operate a pharmacy and is not responsible for the acts or omissions of any pharmacy.
Certain medications, including most controlled substances, may not be prescribed via telehealth due to federal and state regulatory restrictions, the Ryan Haight Act, your Provider's clinical judgment, or other applicable rules.
Medical records are maintained per applicable law. CodyMD stores medical records on HIPAA-compliant infrastructure for a minimum of seven (7) years from the date of the last encounter, or longer where required by state law. Your rights regarding records are described in Part B of the Privacy Policy (HIPAA Notice of Privacy Practices). Contact records@cody.md for record requests.
CodyMD operates as a Business Associate under HIPAA with respect to Protected Health Information (PHI) created in connection with Clinical Services. CodyMD maintains Business Associate Agreements with Providers, MD Integrations, and other contracted parties. Your HIPAA rights are described in Part B of the Privacy Policy.
CODYMD IS NOT LIABLE FOR THE ACTS OR OMISSIONS OF ANY PROVIDER, MD INTEGRATIONS, ANY OTHER MEDICAL GROUP, OR ANY PHARMACY. CODYMD DOES NOT PRACTICE MEDICINE AND DOES NOT DIRECT PROVIDER CLINICAL JUDGMENT. CODYMD DOES NOT GUARANTEE PROVIDER AVAILABILITY IN ANY STATE OR TERRITORY. CODYMD DOES NOT GUARANTEE THAT ANY PARTICULAR TREATMENT, PRESCRIPTION, OR DIAGNOSIS WILL BE ISSUED.
CodyMD does not provide mental, emotional, or behavioral health care services through Clinical Services. You agree not to use Clinical Services for any mental, emotional, or behavioral health concerns, including but not limited to depression, anxiety, suicidal thoughts, self-harm, thoughts of harming others, substance use disorders, eating disorders, psychiatric conditions, or any other mental, emotional, or behavioral health condition.

CodyMD implements multiple safeguards to ensure that Clinical Services are provided only to eligible patients in jurisdictions where CodyMD's contracted Providers are licensed:
Geolocation. At the time of clinical service request, CodyMD uses geolocation technology to determine your approximate physical location.
Patient Self-Declaration. You are required to disclose your physical location.
Identity Verification. You are required to provide a valid government-issued photo identification, which is verified against your self-disclosed information.
Address Verification. Your delivery address (where applicable) is verified against your identification and other information.
Provider Licensure Monitoring. CodyMD and MD Integrations monitor Provider licensure status on an ongoing basis. A Provider with a lapsed, suspended, or revoked license may not accept cases through the platform.
Payment Hold. As described in Section B6.3, payment is authorized but not captured until a Provider accepts your case. If any verification step fails or any other reason for declination applies, your case is declined and no payment is captured.
These safeguards operate together to prevent payment from, and Clinical Services to, jurisdictions where CodyMD does not operate or where the assigned Provider is not licensed.
In addition to Section A15, you agree to indemnify CodyMD, its Providers, MD Integrations, and any contracted medical groups from claims arising from: (a) inaccurate or incomplete health information you provide; (b) misrepresentation of your location, identity, or eligibility; (c) use of Clinical Services in violation of this Part B; (d) failure to follow Provider recommendations regarding follow-up care or emergency services; or (e) your violation of any state or federal law.
Sections B6 (Fees), B7 (Accuracy), B9 (Records), B10 (HIPAA), B11 (Disclaimers), B14 (Indemnification), and any other provision that by its nature should survive termination, survive termination.
